Terms of Service

Welcome to Shoulder Surf. These Terms of Service ("Terms") govern your use of the Shoulder Surf mobile application and related services (collectively, the "Service") provided by WEIRTECH ("we," "us," or "our"). By downloading, installing, or using Shoulder Surf, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service

Shoulder Surf is an AI powered meeting copilot that captures audio through your device microphone and optionally captures visual content through your device camera. The Service provides real time transcription, summaries, and AI powered insights during meetings. Depending on your configuration, the Service may operate entirely on your device, may connect to third party AI providers using your own API credentials, or may process data through Shoulder Surf's managed cloud infrastructure.

2. Eligibility

You must be at least 18 years of age to use the Service. By using Shoulder Surf, you represent and warrant that you have the legal capacity to enter into these Terms and that your use of the Service complies with all applicable laws and regulations.

3. User Responsibilities and Legal Compliance

3.1 Recording Consent Laws

Shoulder Surf enables audio recording and transcription of conversations. Recording laws vary significantly by jurisdiction. Some jurisdictions require the consent of all parties to a conversation before recording is permitted (commonly referred to as "two party" or "all party" consent jurisdictions), while others require only one party's consent. You are solely responsible for understanding and complying with all applicable federal, state, local, and international laws governing the recording of conversations, including but not limited to:

  • Federal and state wiretapping and eavesdropping statutes
  • The General Data Protection Regulation (GDPR) and equivalent data protection laws
  • Workplace recording policies and employment agreements
  • Professional conduct rules applicable to your industry

We do not provide legal advice regarding recording consent requirements. You assume all responsibility for obtaining any required consent before using Shoulder Surf to record or transcribe any conversation.

3.2 Workplace and Organizational Policies

You are solely responsible for determining whether your use of Shoulder Surf complies with your employer's policies, your organization's acceptable use policies, any confidentiality or nondisclosure agreements you have signed, and any applicable professional codes of conduct. We make no representations that use of Shoulder Surf is permitted by your employer or organization.

3.3 Acceptable Use

You agree not to use the Service to violate any applicable law, regulation, or third party right, to record conversations where you do not have the legal right to do so, to capture or process content that you do not have the right to access, or to engage in any activity that is harmful, fraudulent, or deceptive.

4. Service Tiers and Data Handling

Shoulder Surf offers multiple modes of operation, each with different data handling characteristics. The applicable data practices depend on how you configure and use the Service.

4.1 On Device Processing

When using the on device AI model (available on supported hardware), all audio processing, transcription, and AI analysis occur entirely on your device. No meeting content is transmitted to any external server. All data, including transcripts, summaries, recordings, and AI memory, is stored locally on your device.

4.2 Bring Your Own API Key (BYOAPI)

When you provide your own API credentials for a third party AI provider (such as OpenAI, Anthropic, or Google), your meeting transcripts, images, and query context are transmitted directly from your device to the provider you have configured. In this mode, Shoulder Surf does not store, process, or have access to your meeting content on our servers. Your use of the third party provider is governed by your own agreement with that provider, and you are responsible for reviewing their data handling and privacy practices.

4.3 Shoulder Surf AI (Managed Subscription)

When you use Shoulder Surf AI, either through the free trial or a paid subscription, your data is handled as follows:

  • Data transmitted to our servers: Meeting transcripts, captured images, rolling summaries, query context, and AI responses are transmitted through Shoulder Surf's cloud infrastructure hosted on Google Cloud Platform for processing by Anthropic's Claude AI.
  • Data stored by Shoulder Surf: Your AI memory profile, which includes information the AI has learned about you across sessions organized into identity, preferences, traits, and experience categories, is stored in our cloud infrastructure. Meeting metadata (dates, durations, project tags) is also stored. You can view, edit, and delete your stored AI memory data at any time through the Memory Viewer within the app.
  • Third party processing: Meeting content is processed by Anthropic's Claude AI. Anthropic's handling of this data is subject to Anthropic's usage policies and terms of service, available at anthropic.com. We do not control and are not responsible for Anthropic's data practices.
  • Data retained on your device: Raw audio recordings (if you choose to save them), cached meeting records, and app settings remain stored locally on your device.

5. Infrastructure and Security

When you use Shoulder Surf AI, your data is processed through infrastructure hosted on Google Cloud Platform (GCP) and AI services provided by Anthropic. Both Google Cloud Platform and Anthropic maintain industry standard security certifications, including SOC 2 Type II and ISO 27001. All data transmitted between your device, our servers, and Anthropic is encrypted in transit using TLS. While we leverage the security infrastructure of these certified providers, we encourage you to review Google Cloud's and Anthropic's security documentation for complete details on their practices.

6. Subscriptions and Billing

Shoulder Surf AI subscriptions are offered through Apple's App Store and are subject to Apple's terms and conditions for in app purchases and subscriptions. Subscription management, billing, cancellation, and refund requests are handled through your Apple ID account settings and are subject to Apple's refund policies. We do not process payment information directly. Subscription tiers include varying amounts of AI processing time and different AI model capabilities. Specific tier details and pricing are displayed within the app and on the App Store listing.

7. Free Trial

New users may receive a limited free allocation of Shoulder Surf AI processing. The free trial is subject to the same data handling practices described in Section 4.3 (Shoulder Surf AI). When the free allocation is exhausted, you may choose to subscribe to a paid plan, switch to on device processing (on supported hardware), or configure your own API credentials.

8. Intellectual Property

Shoulder Surf and its original content, features, and functionality are owned by WEIRTECH and are protected by applicable intellectual property laws. You retain ownership of all content you create, record, or process using the Service, including meeting transcripts, recordings, and captured images. We claim no ownership over your content.

9. Data Deletion and Account Termination

You may delete your locally stored data at any time through the app's Data & Privacy settings. If you have used Shoulder Surf AI, you may request deletion of your cloud stored AI memory profile and meeting metadata by deleting your data through the Memory Viewer or by contacting us at support@shouldersurf.com. Upon account deletion, we will delete your cloud stored data within 30 days, except where retention is required by law. Data that has been transmitted to Anthropic for processing is subject to Anthropic's data retention policies.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. We do not warrant that AI generated transcriptions, summaries, or insights are accurate, complete, or error free. AI generated content should not be relied upon as a sole source of information for critical decisions. Speech recognition accuracy may vary based on audio quality, background noise, accents, and technical terminology. We do not guarantee uninterrupted or error free operation of the Service.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WEIRTECH, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total cumulative liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed the amount you have paid us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless WEIRTECH and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, your violation of any applicable law (including recording consent laws), your violation of any workplace policy or agreement, or any claim that your use of the Service infringed upon the rights of a third party.

13. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy for detailed information about how we collect, use, and protect your data.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you through the app or by other reasonable means. Your continued use of the Service after such notification constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Bethany Beach, Delaware. You agree to waive any right to a jury trial or to participate in a class action lawsuit.

16. Severability

If any provision of these Terms is held to be unenforceable or invalid, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
